By accessing or using Stablix ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

These Terms constitute a legally binding agreement between you ("User", "Merchant", "Customer", or "you") and Stablix. By creating an account or using our services, you represent that you:

  • Are at least 18 years of age

  • Have the legal capacity to enter into this agreement

  • Will comply with all applicable laws and regulations

  • Have provided accurate and complete information

2. Description of Services

Stablix provides cryptocurrency payment processing services, including but not limited to:

  • Invoice creation and payment collection

  • Subscription billing and management

  • Cryptocurrency wallet integration (Solana and Base chains)

  • Payment notifications via webhooks

  • Transaction tracking and reporting

  • Dispute management

Our Service facilitates payments in USDC and USDT on supported blockchain networks. We act as a payment processor and do not custody funds except during active payment flows.

3. Account Registration

3.1 Merchant Accounts

To use Stablix as a merchant, you must:

  • Provide accurate business information

  • Verify your email address

  • Configure valid payout wallet addresses

  • Comply with our Know Your Customer (KYC) requirements when applicable

  • Maintain the security of your API keys

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials

  • All activities that occur under your account

  • Immediately notifying us of any unauthorized access

  • Using strong passwords and enabling two-factor authentication

3.3 Account Verification

We reserve the right to:

  • Verify your identity and business information

  • Request additional documentation

  • Suspend or terminate accounts that fail verification

  • Implement transaction limits based on verification status

4. Payment Processing

4.1 Payment Flow

When a customer makes a payment through Stablix:

  1. Customer approves token transfer on-chain

  2. Payment is verified on the blockchain

  3. Funds are released according to the payment terms

  4. Merchant receives funds minus applicable fees

4.2 Transaction Finality

IMPORTANT: All cryptocurrency transactions are irreversible once confirmed on the blockchain. Neither Stablix nor the merchant can reverse a completed blockchain transaction.

4.3 Payment Verification

We verify all payments on-chain before marking them as complete. This includes:

  • Confirming the transaction exists on the blockchain

  • Verifying the correct amount was sent

  • Ensuring the transaction succeeded without errors

  • Validating the payment came from the expected wallet address

4.4 Fees

Stablix charges fees for payment processing as displayed in your merchant dashboard. Fees are:

  • Deducted from the payment amount before release

  • Non-refundable, even if the underlying transaction is disputed

  • Subject to change with 30 days notice

Current fee structure:

  • Invoices: 0.5% platform fee + blockchain transaction fees

  • Subscriptions: 0.5% platform fee per billing cycle + blockchain transaction fees

  • Disputes: 1% dispute fee (if customer wins)

  • Blockchain fees vary by network congestion and are passed through at cost

5. Refund Policy

5.1 General Refund Terms

Due to the irreversible nature of blockchain transactions, refunds are handled as follows:

For Merchants:

  • You are responsible for your own refund policies with customers

  • Stablix facilitates but does not guarantee refunds

  • All refunds must be manually initiated by the merchant

  • Platform fees are non-refundable

For Customers:

  • Refunds are subject to the merchant's individual refund policy

  • Contact the merchant directly for refund requests

  • Stablix cannot force merchants to issue refunds

  • Refunds, if issued, will be sent to your original payment wallet

5.2 Refund Process

To issue a refund as a merchant:

  1. Navigate to the payment in your dashboard

  2. Click "Issue Refund"

  3. Confirm full refund amount

  4. Refund is sent on-chain to the customer's wallet

  5. Customer receives notification (if email was provided)

Important: Only full refunds are supported. Partial refunds are not available.

Processing Time: Refunds are typically processed within 24 hours but depend on blockchain confirmation times.

5.3 Platform Fees on Refunds

  • Platform fees are NOT refunded to the merchant

  • Only the payment amount (minus fees) can be refunded

  • Blockchain transaction fees for the refund are paid by the merchant

Example:

  • Customer paid: $100 USDC

  • Platform fee (0.5%): $0.50 USDC

  • Merchant received: $99.50 USDC

  • Full refund: $99.50 USDC

  • Platform fee lost: $0.50 USDC (non-refundable)

  • Refund transaction fee: ~$0.50 USDC (paid by merchant)

  • Total merchant cost: ~$1.00 USDC

5.4 Refund Eligibility

Refunds may be issued for:

  • Product/service not delivered as described

  • Duplicate payments

  • Merchant discretion

Refunds will NOT be issued by Stablix for:

  • Buyer's remorse

  • Change of mind

  • Market price fluctuations

  • User error in wallet selection (see Section 7)

  • Incorrect payment amounts (see Section 7)

6. Dispute Resolution

6.1 Dispute Process

If a customer disputes a payment:

Step 1: Customer Opens Dispute

  • Customer contacts merchant directly first

  • If unresolved, customer may open a dispute in Stablix dashboard

  • Dispute must include clear explanation and evidence

Step 2: Merchant Response

  • Merchant has 3 days to respond with evidence

  • Evidence may include: delivery confirmations, screenshots, correspondence

  • Failure to respond may result in automatic customer favor

Step 3: Stablix Review

  • Our team reviews all evidence from both parties

  • We may request additional information

  • Decision typically made within 14 business days

Step 4: Resolution Possible outcomes:

  • Merchant wins: No refund required, dispute closed

  • Customer wins: Full or partial refund required

  • Split decision: Negotiated settlement

6.2 Dispute Evidence

Strong evidence includes:

  • Proof of delivery (tracking numbers, delivery confirmations)

  • Screenshots of product/service delivered

  • Communication logs between merchant and customer

  • Terms of service or product descriptions

  • Transaction records

6.3 Dispute Fees

  • Opening a dispute: Free for customers

  • If customer wins: Merchant incurs 1% dispute fee on transaction amount

  • If merchant wins: No additional fees

  • Frivolous disputes may result in customer account suspension

Example: For a $100 transaction where customer wins, merchant pays $1 dispute fee (in addition to the refund).

6.4 Binding Arbitration

If a dispute cannot be resolved through our process:

  • Both parties agree to binding arbitration

  • Arbitration will be conducted online

  • Each party bears their own costs

  • Arbitrator's decision is final and binding

6.5 Chargeback Prevention

Unlike traditional payment processors, blockchain transactions cannot be "charged back" by customers. Our dispute process is the only mechanism for customers to seek redress.

7. Incorrect Payment Amounts

7.1 Overpayments

IMPORTANT: If a customer sends MORE cryptocurrency than required:

Invoice Payments:

  • The full amount sent is credited to the invoice

  • The invoice is marked as paid

  • Any excess amount goes to the merchant

  • Merchants may choose to refund the overpayment to the customer

  • Stablix is not responsible for overpayments

Subscription Payments:

  • Only the required amount is debited from the approved allowance

  • Excess approved amount remains available for future charges

  • No overpayment occurs with proper integration

7.2 Underpayments

CRITICAL: If a customer sends LESS cryptocurrency than required:

THIS IS WHERE FUNDS CAN BE LOST:

Invoice Payments:

  1. Customer sends insufficient amount (e.g., $95 instead of $100)

  2. Transaction is marked as "Underpaid"

  3. Customer can "top off" the remaining balance before invoice expires

  4. Invoice expiry time is set when invoice is created (typically 24-72 hours)

  5. If topped off before expiry: Invoice marked as paid ✅

  6. If invoice expires before top-off: Funds are permanently lost

What happens to underpaid invoices after expiry:

  • The partial payment is NOT refunded automatically

  • Invoice is marked as expired

  • Merchant must manually issue a refund if they choose

  • Platform fees may still apply to the partial amount

  • Customer loses access to the product/service

  • Original payment wallet is required for top-offs

Why invoice expiry is enforced:

  • Blockchain transactions are final

  • Payment addresses are temporary and tied to invoice lifecycle

  • Security and fraud prevention

  • System resource management

  • Price volatility protection for merchants

7.3 No Automatic Refunds

IMPORTANT: Stablix does not automatically refund underpayments because:

  • Blockchain transactions are irreversible

  • We cannot determine user intent (mistake vs. abandonment)

  • Refund costs would be borne by the merchant

  • Some customers may intend to top off later

7.4 User Responsibility

YOU ARE RESPONSIBLE FOR:

  • Verifying the exact payment amount before sending

  • Ensuring sufficient token balance plus gas fees

  • Sending to the correct wallet address

  • Using the correct token (USDC vs USDT)

  • Double-checking all transaction details

WE ARE NOT LIABLE FOR:

  • User error in payment amounts

  • Funds sent to wrong addresses

  • Wrong token types sent

  • Insufficient gas fees causing transaction failures

  • Wallet application errors or bugs

7.5 Wrong Token Type

If you send the wrong token type (e.g., USDT instead of USDC):

  • Payment will not be recognized by the system

  • Funds may be unrecoverable

  • Stablix is not responsible for retrieving funds

  • Contact the merchant directly for potential resolution

7.6 Wrong Chain

If you send tokens on the wrong blockchain:

  • Payment will not be recognized

  • Funds are likely permanently lost

  • Stablix cannot recover cross-chain mistakes

  • Always verify you're using the correct network

8. Subscription Services

8.1 Subscription Billing

For subscription payments:

  • Customers approve a spending allowance upfront

  • Automatic charges occur on the billing schedule

  • Charges are verified on-chain before marking as successful

  • Customers can cancel anytime before next billing cycle

8.2 Subscription Approval

When subscribing, customers approve:

  • A specific token amount (typically 6-12 billing cycles)

  • Stablix to charge their wallet automatically

  • The subscription terms and billing schedule

Approved funds remain in the customer's wallet until charged.

8.3 Failed Subscription Charges

If a subscription charge fails:

  • Customer has a grace period (typically 24-72 hours)

  • Customer is notified via email

  • Access may be suspended during grace period

  • Subscription may be cancelled after grace period

Charges fail when:

  • Insufficient approved allowance

  • Insufficient token balance in wallet

  • Wallet approval expired or revoked

  • Network connectivity issues

8.4 Cancellation

Merchants:

  • Can cancel subscriptions anytime

  • Must provide reasonable notice for material changes

  • Cannot charge after cancellation

Customers:

  • Can cancel subscriptions anytime

  • Cancel through merchant's platform or Stablix dashboard

  • No refunds for current billing period (unless merchant policy states otherwise)

  • Must revoke on-chain approval separately (optional but recommended)

8.5 Subscription Modifications

Merchants may modify subscription terms with:

  • 30 days notice for price increases

  • 7 days notice for billing frequency changes

  • Immediate effect for new features/improvements

Customers may cancel if they don't agree with changes.

9. User Responsibilities

9.1 Merchant Responsibilities

As a merchant, you must:

  • Accurately describe products/services

  • Deliver products/services as promised

  • Maintain accurate pricing information

  • Respond to customer inquiries promptly

  • Handle refunds in accordance with your stated policy

  • Comply with all applicable laws and regulations

  • Maintain secure API key storage

  • Monitor your webhook endpoint for payment notifications

  • Provide customer support

9.2 Customer Responsibilities

As a customer, you must:

  • Verify all payment details before confirming

  • Ensure sufficient funds plus gas fees

  • Use the correct wallet and blockchain

  • Keep records of transactions

  • Contact merchants directly for order issues

  • Understand that blockchain transactions are final

9.3 Compliance Obligations

All users must:

  • Comply with applicable laws in their jurisdiction

  • Not use the Service for illegal activities

  • Provide accurate information

  • Report suspicious activity

  • Cooperate with investigations

  • Maintain the security of their accounts

10. Prohibited Activities

You may not use Stablix for:

10.1 Illegal Activities

  • Money laundering or terrorist financing

  • Fraud or scam operations

  • Sale of illegal goods or services

  • Violation of sanctions or export controls

  • Tax evasion

  • Ponzi schemes or pyramid schemes

10.2 Restricted Products/Services

  • Weapons, explosives, or ammunition

  • Illegal drugs or drug paraphernalia

  • Stolen goods or services

  • Counterfeit products

  • Adult content or services (without prior approval)

  • Gambling services (without proper licensing)

  • Securities or investment products (without proper licensing)

10.3 Service Abuse

  • Creating fake accounts or businesses

  • Manipulating transaction data

  • Circumventing fees or security measures

  • Overloading our systems (DDoS attacks)

  • Reverse engineering our software

  • Sharing API keys with unauthorized parties

10.4 Merchant Misconduct

  • Misrepresenting products or services

  • Non-delivery of promised goods/services

  • Charging hidden fees

  • Refusing legitimate refund requests

  • Creating fake positive reviews

10.5 Consequences

Violation of these terms may result in:

  • Immediate account suspension or termination

  • Forfeiture of funds in your account

  • Reporting to law enforcement

  • Legal action to recover damages

  • Permanent ban from the platform

11. Intellectual Property

11.1 Stablix Property

All content, trademarks, logos, and intellectual property on Stablix are owned by us or our licensors. You may not:

  • Copy, modify, or distribute our content

  • Use our trademarks without permission

  • Reverse engineer our software

  • Frame or mirror our website

11.2 User Content

By using our Service, you grant us a worldwide, non-exclusive license to:

12. Limitation of Liability

Stablix is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee:

  • Uninterrupted service availability

  • Error-free operation

  • Specific transaction speeds

  • Blockchain network reliability

12.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability is limited to fees paid in the last 12 months

  • We are not liable for indirect, incidental, or consequential damages

  • We are not liable for lost profits or business opportunities

  • We are not liable for third-party actions (including blockchain networks)

12.3 Blockchain Risks

We are not responsible for:

  • Blockchain network failures or delays

  • Smart contract bugs or exploits

  • Wallet software errors

  • Network congestion or high gas fees

  • Cryptocurrency price volatility

  • Regulatory changes affecting cryptocurrency

12.4 Third-Party Services

We are not responsible for:

  • Wallet providers (Phantom, MetaMask, etc.)

  • Blockchain networks (Solana, Base)

  • User's internet service providers

  • User's device security

12.5 Force Majeure

We are not liable for delays or failures caused by:

  • Natural disasters

  • War or terrorism

  • Government actions

  • Network outages

  • Blockchain network failures

  • Other events beyond our reasonable control

13. Indemnification

You agree to indemnify and hold harmless Stablix, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service

  • Your violation of these Terms

  • Your violation of any law or regulation

  • Your violation of third-party rights

  • Your business practices or products/services

14. Termination

  • Withdrawing all funds before closure

14.3 Effect of Termination

Upon termination:
